As a multi-functional member of the Nestlé USA Legal & Compliance function, this role will serve as a centralized point of contact for the Acquisitions, Business Development & Commercial Transactions Legal Team (the “ABC Team”). This role will help assist with corporate governance efforts (i.e., assist the corporate secretary with record keeping, entity management, and related activities), perform support for the ABC Team with respect to commercial contracts, knowledge management, technical solutions, and implementing Team initiatives.

 

The detail oriented person filling this position will be adept at maneuvering through large and complex organizations and will demonstrate the ability to foster a positive working relationship with their peers, corporate attorneys, outside counsel, various Nestle departments, outside vendors and Nestlé’s internal client base.

 

PRIMARY RESPONSIBILITIES:

As a key member of the Legal & Compliance function, this role will:

 

  • Corporate Secretary Support (about 60%)
    • Provide corporate governance support for all Nestlé entities located in the United States, Puerto Rico and other United States territories, if any (the “NIM Entities”), such as required corporate governance filings, entity management changes, corporate minute book updates, registered trade names and corporate subsidiary database entries in our entity management system
    • Assist with the administration, maintenance and master record keeping (including updating the global database) of corporate records, corporate data sheets and organizational charts for the NIM Entities and respond to internal and external requests for information
    • Coordinate formation or integration of new NIM Entities, whether via new formation or acquisition
    • Manage annual resolution process and resolution amendments for all NIM Entities
    • Manage the relationship with the registered agent for all NIM Entities
    • Prepare and file documents with various state Secretaries of State through registered agent
    • Coordinate internal director and officer signatures on various corporate filings and documents
    • Respond to requests related to NIM Entity matters received by the ABC Team from various departments within the company.
    • Draft and manage Treasury documentation on all NIM Entities for corporate bank accounts
    • Help develop, improve and implement new governance-related policies, processes and procedures
    • Regularly collaborate with Nestlé Group Compliance in Switzerland on functional priorities
    • Assist Corporate Secretary and any Assistant Corporate Secretaries for the NIM Entities with other special projects, as requested

 

  • ABC Team Support (about 25%)
    • Provide support for major corporate transactions, including maintaining virtual data rooms, coordinating legal due diligence processes and assisting with collecting signatures, closings and integrations
    • Support general corporate compliance in managing transaction and contract documents, including maintaining backup records, supporting the ABC Team on filings, and coordinating distribution of information to the supporting functions of the company
    • Manage the contract assignment process for the ABC Team lawyers
    • Organize and archive documents related to completed and ongoing ABC Team transactions
    • Prepare and file entity organizational, amendatory, and dissolution/termination documents; prepare and file foreign qualifications and withdrawals
    • Under the guidance of an ABC Team attorney, draft form documents and templates, make recommendations regarding standardized and best practices to facilitate processes, procedures and policies
    • Under the guidance of an ABC Team attorney, review and advise on our Know Your Supplier questionnaire response
    • Assist in payment and tracking of vendor invoices in legal billing system
    • Provide general paralegal/administrative support to the ABC Team
    • Conduct necessary legal and/or business research and provide timely and relevant information and respond to legal inquiries
    • Assist with other special projects and departmental matters, as requested

 

  • Legal Team IT Support (about 15%)
    • Manage the ABC Team’s internal websites and online tools, including Contracts Express, Legal Tracker, shared drive and other electronic document archival and sharing tools, Teams folders, and the contract intake forms
    • Provide support and user training for HighQ and other technology solutions used by the broader Legal Team
    • Manage relationship with Nestle IT and applicable software vendors

 

QUALIFICATIONS:

  • College degree or equivalent
  • Minimum of 3 years of relevant experience in corporate governance, commercial transactions, or related fields
  • Notary Public Certification preferred

 

SKILLS: 

  • Willingness to adapt and be open to change in order to achieve desired results
  • Strong verbal, written and communication skills, including the ability to effectively communicate with all levels of the organization
  • Ability to develop and maintain record keeping systems and procedures at a global level
  • Excellent attention to detail
  • Excellent problem solving, organization, collaboration and project management skills
  • Technology-savvy and proficient in Microsoft Office (Word, Excel, PowerPoint, Outlook, DocuSign, etc.)
  • Ability to work independently, demonstrate good judgment and balance multiple projects and priorities in a fast-paced environment while meeting deadlines
  • Team orientation and collaborative approach with all internal and external stakeholders, partners and vendors
  • High degree of professionalism and discretion in handling confidential legal matters
