Legal Counsel (eCommerce) - REMOTE POSITION

Position Summary

POSITION SUMMARY
Nestle Health Science is seeking an e-commerce attorney to support its U.S. businesses. This position serves as a key member of the legal team and business partner to our internal clients and provides legal services and counsel to Nestlé Health Science sales and brand teams, enabling e-commerce strategy and assessing business and legal risk.  The ideal candidate is client-service oriented, takes initiative in creating and improving legal processes, and excels at problem solving and delivering high-quality, actionable, and timely legal advice. 
KEY RESPONSIBILTIES
• Counsel business clients on issues related to e-commerce and online marketplaces, including sales, distribution, third party sales, pricing policies, and brand protection, as well as related intellectual property and antitrust considerations.   
• Engage with sales and e-commerce colleagues to support and enable “direct to consumer” (DTC) and “cross-border e-commerce” (CBEC) sales channel strategies
• Develop and manage e-commence enforcement strategy, including brand registry takedowns, marketplace policy violations, potential trademark infringement, and C&D letters 
• Review and draft various e-commerce related policies and terms, such as website terms of use, sales terms and conditions, 3P seller agreements, and CBEC seller agreements 
• Act as internal subject matter expert to assist legal colleagues supporting NHSc businesses expanding into e-commerce channels
• Manage general legal services for businesses leveraging e-commerce as primary route to market, including commercial contracts, advertising materials review, and other legal-related needs to support business initiatives  
• Help mitigate business risks by identifying and delivering legal services that promote business development through practical solutions.  
EXPERIENCE AND EDUCATION REQUIREMENTS
• J.D. from accredited law school required
• 5-8 years of experience in a business-oriented law firm, corporate legal organization, governmental agency or equivalent
• Significant experience with e-commerce and online marketplace sales strategy and enforcement, including intellectual property and antitrust considerations 
• Experience representing corporate entities in transactional matters, such as 3PL platform agreements, distribution agreements, e-commerce sales terms & conditions, and other commercial agreements
• Working knowledge of privacy law interaction with e-commerce platforms is a plus
• Experience reviewing promotional/advertising materials, including digital marketing, is a plus
• FDA-based regulatory experience is a plus
• Licensed attorney in good standing and admission to the bar in at least one state
PREFERRED SKILLS
• Strong ability to understand complex issues and help design practical solutions
• Excellent communication and leadership skills, flexibility and collaboration must be demonstrated
• Proven prioritization and results orientation, especially with high pressure deadlines
• Proven ability to work independently
• Strong critical thinking and problem-solving skills
